With the assistance of Cypress, MMIS, Inc. successfully structured and executed a private placement of Series A-1 Convertible Preferred Stock purchased by EDG Partners Fund II, L.P.

Cypress acted as the exclusive placement agent to MMIS, Inc. in connection with the Company’s growth equity recapitalization transaction.

In the course of the transaction, Cypress also provided value-add financial advisory expertise, including negotiating the valuation used to determine EDG’s pro forma equity ownership in the recapitalized company and developing the strategy to redeem all outstanding shares from owners of the Company’s previously outstanding preferred stock.

Gilbert Global Equity Partners

Gilbert Global Equity Capital, a leading private equity investment firm, completed the dividend recapitalization of its portfolio company, CPM Holdings, Inc., the world’s leading provider of process equipment and engineered solutions for the oilseed, animal feed, and alternative energy markets.

The recapitalization transaction was funded through a new Senior Secured Facilities of $405 million. The Company will utilize the proceeds from the Senior Secured Credit Facilities along with existing cash reserves to refinance existing debt and issue a dividend to its shareholders.

The transaction provides CPM with enhanced financial flexibility, allowing it to continue its strategic growth initiatives, while also enabling Gilbert Global Equity Capital and its limited partners, the Company’s controlling shareholder, to realize a return of capital substantially in excess of its original investment while leaving its ownership stake unchanged.

Cypress acted as financial advisor to Gilbert Global Equity Capital LLC in connection with the dividend recapitalization of CPM Holdings.

New York City Multi-Family Property

The company and related entities own a portfolio of rental apartment buildings in New York City.

Cypress structured a series of mortgage financings for the company, the proceeds of which were used to repurchase the minority shareholder’s equity interests in the entities.

Acted as a placement agent and advisor for the first mortgage debt financing

Cypress acted as financial advisor to Oberon’s Board of Directors in connection with the company’s recapitalization transaction. With the assistance of Cypress, Oberon successfully structured and executed a preferred stock rights offering using net proceeds to fund multiple strategic growth and financial initiatives. Major existing shareholders that backstopped the financing include certain investment funds affiliated with Goldman Sachs, Oak Investment Partners, and Infinity I-China. Cypress rendered a fairness opinion in connection with the recapitalization transaction.

Cypress provided value-add expertise in the structuring and valuation of the rights offering that ultimately achieved high levels of participation while dramatically simplifying and stream-lining the company’s complex capital structure. In conjunction with the company’s management team, Cypress assisted in the shareholder road show process which included comprehensive dialogue and analysis of the benefits of the recapitalization transaction with respect to all classes of the capital structure.
